1Acceptance of the Terms
By pressing the "Create Account" button, registering or using any functionality of the site https://usarevolver.mx/ or of the technology platform Revólver, the User declares that they have read, understood and fully accepted these Terms and Conditions of Use.
Acceptance constitutes express consent to:
- the use of the Revólver technology platform
- the processing of tax, financial and credit information in accordance with these Terms
- the execution of legal acts by electronic means within the platform
- the generation and acceptance of contracts, electronic promissory notes or other legal documents that may subsequently be formalized within the system
If the User does not accept these Terms, they may not register or use the platform.
2Privacy Notice
The processing of the User's personal data is governed by the Comprehensive Privacy Notice of REVOLVER MEXICO, S.A.P.I. DE C.V., available on the website https://usarevolver.mx/.
That Notice sets out, among other matters:
- the categories of personal data that may be collected
- the purposes for which the information is processed
- the applicable security measures
- the mechanisms for exercising ARCO rights (Access, Rectification, Cancellation and Objection)
By creating an account or using the platform, the User acknowledges having read and accepted the Privacy Notice.
3Definitions
For the purposes of these Terms:
Revolver — REVOLVER MEXICO, S.A.P.I. DE C.V., the company that operates the technology platform.
Platform — A technology system accessible via the internet that allows companies to manage commercial, documentary, operational and financial processes, including inventory management, MRO catalog, quotes, requests for quotation (RFQ), documentary and tax compliance, CFDI invoicing, commercial follow-up and, where applicable, the contracting of SaaS services or the request of liquidity financial products.
User (Supplier) — A legal entity or individual with business activity that creates an account within the Platform and maintains a direct commercial relationship with Revolver. In the context of the Platform, the User typically acts as a supplier of goods or services.
Administrator — The User who performs the initial registration of the company within the platform and who holds account administration powers.
Authorized Users — Additional persons invited by the Administrator to access the business account with different permission levels.
Recipient Third Party — An individual acting in the name or on behalf of a legal entity, or an individual with sufficient authority to act, who receives, consults, reviews, comments on, accepts, rejects, supplements, uploads or responds to quotes, purchase orders, invoices or other commercial documents generated by a User within the Platform, without thereby acquiring the status of a Revolver customer or entering into a SaaS agreement with Revolver.
Commercial Counterparty — A legal entity or individual with business activity that maintains a commercial relationship with a User of the Platform and that may interact with documents, workflows, requests, messages or electronic evidence within the Platform through its representatives, employees, attorneys-in-fact or Recipient Third Parties.
Maquiladora / Buyer — A company or legal entity that, in its capacity as a buyer of goods or services, accesses certain Platform functionalities enabled by Revolver free of charge, including receiving and responding to quotes shared by Users (suppliers) and directly issuing requests for quotation (RFQ) to suppliers. The Maquiladora's access does not imply the contracting of a SaaS service, the request of a financial product, or the opening of a business account with Revolver. Such access is governed by Section 8.3 of these Terms.
RFQ (Request for Quotation) — A Platform functionality that allows the Maquiladora or Buyer to directly initiate a request for quotation addressed to one or more suppliers, whether or not they are registered Users of the Platform. Use of the RFQ by the Maquiladora is free of charge and is governed by Section 8.3 of these Terms.
Joint and Several Obligor — An individual who guarantees obligations arising from financial products offered by Revolver.
SaaS Services — Technology tools offered on a subscription basis that allow commercial, operational or administrative processes to be managed within the platform, including the Inventory, MRO Stores, Quotes, Fulfillment, CFDI Invoices and Liquidity modules, on the terms described in Section 14.
Financial Products / Liquidity — Commercial credit or other liquidity products that Revolver may offer to previously assessed and approved users, based on their tax and commercial information.
4Nature of the Platform
Revolver operates an enterprise technology platform that allows Users to:
- manage the inventory of products and services offered to their buyers
- publish and manage catalogs of MRO (Maintenance, Repair and Operations) products
- create, send, receive, review and manage quotes and requests for quotation (RFQ)
- verify the documentary and tax compliance of their commercial counterparties
- manage and validate issued and received CFDI electronic invoices
- request or contract liquidity products where they are eligible
- enable electronic interaction with Maquiladoras, Recipient Third Parties or Commercial Counterparties
Revolver acts exclusively as a provider of technology infrastructure, management tools, electronic evidence, operational traceability and related services.
The Platform does not intervene in the underlying commercial negotiation between the User and its Commercial Counterparty or Maquiladora, does not replace the will of the parties in their commercial relationships, and does not guarantee the execution, commercial validity, performance, payment, delivery, acceptance, rejection, quality, timing, quantities or any other obligation arising from the relationship between those parties.
The participation of a Recipient Third Party, a Commercial Counterparty or a Maquiladora within the Platform does not in itself imply:
- the execution of a SaaS agreement with Revolver
- the contracting of financial products with Revolver
- the opening of a business account
- the assumption of payment obligations in favor of Revolver, except upon express acceptance in a separate document
Creating an account neither implies nor guarantees the approval or granting of financing.
5Legal Capacity
Only the following may use the platform as registered Users:
- legally incorporated legal entities
- individuals with business activity
The User declares that:
- they have the legal capacity to contract
- their legal representative holds sufficient authority to bind the company
- the information provided is truthful
Revolver may reject, suspend or cancel accounts where there are indications of legal incapacity, false information, operational risk or suspicious activity.
6Registration and Accuracy of Information
The User must provide accurate, verifiable and current information, including tax, corporate, financial and contact information.
The User is responsible for the accuracy of the data provided, for keeping it up to date, and for the consequences arising from false or incomplete data.
Revolver may request additional documentation to verify identity, tax domicile, business activity or financial capacity.
7Platform Access and Security
Access to the platform will be carried out by telephone number, email address and one-time verification codes (OTP).
The User is responsible for the confidentiality of their credentials, for the use of their account, and for all operations carried out from it.
Sharing credentials, allowing access by unauthorized third parties, or using another party's account is prohibited.
8Account Administration and Authorized Users
The User who performs the initial registration of the company will be automatically designated as the Account Administrator.
The Administrator declares that they hold sufficient authority to act on behalf of the registered company and to legally bind it vis-à-vis Revolver.
The Administrator may: manage the general account configuration, contract SaaS services, accept electronic contracts and documents, add or remove users, and assign permissions within the platform.
Any action carried out within the account by the Administrator or Authorized Users will be deemed to have been carried out on behalf of the registered company.
8.1. Recipient Third Parties and Commercial Counterparties
Revolver may allow Users to share, transmit or make available to Recipient Third Parties or Commercial Counterparties certain documents, requests, messages, files, evidence or operational workflows generated within the Platform, including quotes, purchase orders, comments, responses, approvals, rejections, documentary annexes and related communications.
The Recipient Third Party acknowledges and accepts that:
- they access the Platform solely to interact with the specific workflow or document for which they were enabled
- their access may be limited by functionality, time, document, permission level, authentication or technical validation
- they must provide truthful information regarding their identity, position, representation or authority
- they will be responsible for the authenticity and legality of the information or documentation they upload, transmit, accept, reject or supplement within the Platform
- their interaction may generate electronic evidence, traceability, timestamps, logs, IP records, device data, OTP, acknowledgments and records with evidentiary value
The User who enables a Recipient Third Party will be responsible for having a legal basis, commercial relationship or sufficient authorization to share the corresponding information.
Revolver may suspend, limit or cancel the access of any Recipient Third Party or Commercial Counterparty where it detects false information, misuse, operational risk or breach of these Terms.
8.2. Absence of a Direct Commercial Relationship with Recipient Third Parties
Unless expressly agreed otherwise, the interaction of Recipient Third Parties or Commercial Counterparties with the Platform does not create a direct commercial relationship between them and Revolver with respect to SaaS services, licenses, financing or other professional services.
Revolver will not be considered a party to the underlying commercial relationship between the User and the Commercial Counterparty, nor will it be liable for disputes relating to quotes, purchase orders, contractual performance, quality, payments or disputes between those parties.
8.3. Free Access for the Maquiladora (Buyer)
Revolver will enable free access for companies acting as Maquiladoras or Buyers to the following Platform functionalities:
- Receiving and responding to quotes shared by Users (suppliers) — including review, acceptance, rejection, document upload and comments on specific quotes.
- Issuing requests for quotation (RFQ) addressed to suppliers — the Maquiladora may directly initiate a request for quotation to any supplier, whether or not a registered User of the Platform, detailing the goods or services required, quantities, conditions and deadlines.
The Maquiladora's access will be governed by the following conditions:
- Access is free of charge. Revolver will not charge the Maquiladora any fee, subscription or commission for the use of the functionalities described in this Section.
- By merely accessing the Platform or issuing an RFQ, the Maquiladora does not acquire the status of a Revolver customer, nor does it enter into a SaaS agreement, nor does it request or contract any financial product with Revolver.
- The Maquiladora will access the Platform through email authentication and a one-time verification code (OTP), without needing to create a permanent business account.
- The Maquiladora's interactions within the Platform — including access events, RFQ issuance, quote review and response, document upload and comments — may generate electronic evidence, access records, logs, timestamps and operational traceability with evidentiary value.
- The Maquiladora is responsible for the accuracy, authenticity and legality of the information or documentation it transmits, accepts, rejects or supplements within the Platform, including the specifications and conditions included in its RFQs.
- Revolver acts as a provider of technology infrastructure for transmitting the RFQ and does not intervene in or guarantee the receipt, response, acceptance or formalization of any quote or commercial agreement arising from it.
- Revolver will process the personal data of persons accessing on behalf of the Maquiladora solely for the authentication, traceability and security purposes described in the applicable Privacy Notice.
By continuing to access the Platform, the person acting on behalf of the Maquiladora confirms that:
- they are a person authorized to access the shared quote or to issue the corresponding RFQ
- they have read and accept the applicable Terms of Access
- they have been informed of Revolver's Privacy Notice, available at https://usarevolver.mx/
If the person attempting to access is not the authorized person, they must refrain from continuing.
9Authorization to Access Tax Information
The User expressly authorizes Revolver to use third-party technology services, including Syntage Technologies, Inc., to access tax information available at the SAT, including RFC, tax identity data, issued and received CFDI invoices, tax returns and available records.
For this purpose the User may provide SAT credentials or e.firma (FIEL). Revolver does not store those credentials.
10Use of Syntage as Data Processor
The User accepts that Syntage Technologies, Inc. acts as a data processor in order to access the SAT, retrieve tax information, validate identity and transmit information to Revolver.
Revolver retains primary responsibility for the processing of personal data under Mexican law.
11Authorization to Query Credit Information
The User and, where applicable, the Joint and Several Obligor, authorize Revolver to request information from Credit Information Companies (Buró de Crédito, Círculo de Crédito) for eligibility assessment, risk analysis, credit monitoring and the administration of financial products.
This authorization does not oblige Revolver to grant financing.
12Credit Assessment Process
Revolver may analyze tax, financial and credit information to assess the User's eligibility for liquidity products.
Revolver may approve, reject or limit amounts and conditions. Creating an account does not guarantee financing.
Revolver may request additional documentation including bank statements, official identification, articles of incorporation, notarial powers of attorney, financial statements and information on ultimate beneficial owners.
13Data Retention
Revolver may retain information obtained during assessment processes for legal compliance, fraud prevention and risk management, even where the User is not approved for financing.
14SaaS Services
The platform offers enterprise technology tools under a Software as a Service (SaaS) model. Those tools are organized into the following modules:
14.1. Inventory
Allows the User to manage and keep current the catalog of products and services offered to their buyers within the Platform, including description, stock, prices and commercial conditions.
14.2. MRO Stores
Enables the User to publish a catalog of Maintenance, Repair and Operations (MRO) products accessible to Maquiladoras and Buyers within the Platform, facilitating the efficient procurement of operational supplies.
14.3. Quotes
Allows the User to create, send, manage and follow up on quotes addressed to Maquiladoras or Buyers, as well as to receive, review and respond to requests for quotation (RFQ) initiated by them.
14.4. Fulfillment
Facilitates the verification and management of the documentary and tax compliance of the User's commercial counterparties, including validation of tax status certificates, corporate documents and regulatory requirements applicable to the commercial relationship.
14.5. CFDI Invoices
Allows the User to manage, issue, receive and validate CFDI electronic invoices in accordance with the SAT's current scheme, integrating tax information with the commercial workflows managed within the Platform.
14.6. Liquidity
A module that allows the eligible User to request liquidity products based on their CFDI invoices and their commercial history within the Platform. Access to this module is subject to prior credit assessment in accordance with Sections 11 and 12 of these Terms.
Access to the SaaS modules may require contracting a subscription plan, payment of recurring fees and acceptance of a separate SaaS Subscription Agreement. The commercial conditions will be governed by that agreement.
The Inventory, MRO Stores, Fulfillment, CFDI Invoices and Liquidity modules are functionalities exclusive to the User (supplier) and are not accessible to Maquiladoras or Buyers. The Maquiladora's free access is limited to the Quotes and RFQ functionalities described in Section 8.3.
15Financial Products
Revolver may offer short-term commercial credit and other liquidity products to previously approved users, documented through electronic contracts, electronic promissory notes or digital acceptance via OTP or other means.
Revolver may assign rights arising from credits to third-party funders.
16Prohibited Use of the Platform
The User, Authorized Users, Recipient Third Parties, Commercial Counterparties and Maquiladoras may not:
- interfere with the operation of the system
- perform reverse engineering
- manipulate tax, financial, commercial or documentary information
- access third-party data, documents or workflows without authorization
- upload false, altered, simulated or unauthorized documents
- impersonate an identity, representation or authority
- issue RFQs with false or simulated information, or for purposes other than legitimately obtaining commercial quotes
- use the Platform for unlawful purposes or purposes other than those for which it was enabled
- extract information in bulk or by automated means without Revolver's authorization
17Account Suspension or Cancellation
Revolver may suspend, limit or cancel User accounts, Authorized User access, or specific access of Recipient Third Parties, Commercial Counterparties or Maquiladoras for any of the following reasons:
- false, incomplete or unverifiable information
- breach of contract
- suspicious activity
- operational, technological or security risks
- misuse of documents, commercial workflows or RFQ functionalities
- disputes over powers of representation or documentary authenticity
- a request from a competent authority
- any conduct that may affect the integrity, security, evidentiary validity or operation of the Platform
18Service Availability
The platform may experience interruptions arising from maintenance, updates or technology provider failures.
19Limitation of Liability
Revolver will not be liable for:
- SAT failures
- technology provider outages
- errors in external services
- unavailability of the internet, email or the systems of the User, Recipient Third Party, Commercial Counterparty or Maquiladora
- rejections, omissions, delays or errors attributable to the User, the Recipient Third Party, the Commercial Counterparty or the Maquiladora
- disputes arising from the acceptance, rejection, modification, upload or failure to upload quotes, RFQs, purchase orders, invoices or any commercial document between private parties
- a lack of response from suppliers to whom a Maquiladora has sent an RFQ
- damages arising from the unauthorized use of links, access, credentials, OTP or third-party devices where this is not directly attributable to Revolver
Revolver does not guarantee that a quote or RFQ sent through the Platform will be reviewed, accepted, responded to or converted into a purchase order.
20Intellectual Property
All software, design, trademarks, algorithms and content of the platform are the property of Revolver. The User receives only a limited license to use them.
21Electronic Means and Legal Validity
The User acknowledges the legal validity of acts carried out by electronic means in accordance with the Commercial Code and the Federal Civil Code.
22Record of Electronic Consent
Revolver may electronically record the acceptance of Terms and Conditions, the Privacy Notice, SaaS agreements and financial agreements. That record may include date and time, IP address, user identifier and the device used.
23Notices
Communications may be sent to the email address or telephone number registered by the User.
24Governing Law and Jurisdiction
These Terms are governed by the laws of the United Mexican States.
The parties submit to the competent courts of Ciudad Juárez, Chihuahua, waiving any other jurisdiction that may correspond to them.
